e-Mersion Media has illegally phoenixed

It’s official, they’ve phoenixed the technology we the investors paid for to Attnd Media. After announcing in the Aug 2023 shareholder update that “Attnd Media will be responsible for ‘Commercial Sponsorship & Media’ activities,” they are now the publisher of the F1 Race Programme app (iOS here and Android here) and all traces of e-Mersion have been removed (along with the website and LinkedIn company profile).

You’ll note the e-Mersion Media app that a lot of us invested because of, F1 Race Programme (iOS and Android), was not updated ahead of the first race last week. Instead this identical app was launched by Attnd Media kicking off 2024.

While John and Chris’s names are not on it, Norman Howell (Director of e-Mersion UK), Corrine Teng and Simran Dhillon (e-Mersion Media employees) are credited for their work along with Matthew Youson, James Roberts, and Paul Keith who are e-Mersion contractors for the last F1 seasons.

Jag Sanger (who John presented to us as the new “expert CEO” last year) is listed as the Publisher and Sarah Lenard (his partner in the Market Herald scandal) is listed as CEO. We also know the e-Mersion team were reporting into Jag from around the middle of 2023. John and Chris are not listed as directors of Attnd Media (that would be too obvious), so there was either a cash payout for the technology or there is an ESOP in place.

Either way our technology and our main contract has been transferred to Attnd Media right in front of our eyes and none of us have profited for our investment.

I suggest everyone file ASIC phoenixing tip-offs so that ASIC can begin to trace the money ahead of the winding up orders that are now in place and most importantly so that John and Chris Iliopoulos can be finally held to account.

We’ve been following the developments at E-Mersion for some time, and would  like to clarify and refute some of the incorrect comments regarding attnd media below.

We are limited in our response as proceedings have commenced, but would be happy to speak with any shareholders or creditors on any of the points below. We have tried on several occasions to contact the key contributors to this forum, but our calls have not been returned.

1 As referenced in the August 2023 shareholder update, which we were informed of after it had been sent, attnd media agreed to be an agency and publishing contractor  of Emersion. 

2 Between August 2023 and February 2024 Emersion and attnd media attempted to reach agreement on a number of issues. These agreements were not concluded, and attnd media at this moment remains a creditor of E-Mersion. 

3 At no time did any attnd media employee join Emersion as an employee, designer, executive officer or any other role. 

4 At no time did attnd media meet with any Emersion staff member, director or other personnel, or assume any management, CEO or other position. We were perplexed when informed of this and contacted Emersion to not inadvertently mis-represent our position. 

5 Attnd media agreed to assume some liabilities of Emersion with respect to a former Emersion client and these discussions are ongoing. This was partly to assist Emersion in its restructuring efforts, and partly to ensure that pre booked revenues can be delivered.

6 attnd media does not use Emersion technology or infrastructure, but has made payments to Emersion design and editorial staff to ensure continuity of publication for pre booked advertising, as part of an agreement made with Emersion. However no part of Emersion IP or technology is used by attnd media, this is the property of Emersion. 

7 attnd media has no shareholding from or agreement with Emersion or any Emersion shareholders

The latest F1 Program credits Sarah as Executive Editor and Jag as Publisher. It also credits Simran Dhillon and Corrine Teng for Digital Layout and Content Production, both of whom are Emersion employees.

How foolish of you both. How can anyone believe anything else you’ve written?

Item 2 claims you’ve been working with Emersion from Aug 23 to Feb 24, but failed to reach agreement, and item 3 states that no attnd media staff joined Emersion in any role. The fact is, since August 23 you have both been in direct contact with and directing Emersion staff.   

The F1 credits also include Norman Howell as Editor, who most shareholders will know is the former Director of e-M UK, and the editorial team he put together to produce the F1 Program. These were Emersion contractors and Director. 

As for the claim you have not used Emersion tech – having seen the poor quality of the F1 Program, this is almost believable. Another explanation is that you don’t know how to use it properly. 

And how about this for contradicting yourselves: “made payments to Emersion design and editorial staff to ensure continuity of publication…as part of an agreement with Emersion”. So you’ve never been in touch with staff but paid their wages. How does this work exactly?

And perhaps most importantly, how is it that attnd media is now the F1 Licensee and Emersion is nowhere to be seen? Emersion shareholders have paid $millions developing the F1 relationship and the F1 Program. If your “agreements were not concluded” how is it that you have become the F1 licensee to the exclusion of Emersion? You’ve invited contact for further clarification so…please explain.

I see no differences between these two paragraphs.
You may think you’re fooling everyone making out like those slimy Iliopoulos brothers had no part in this but we all know they’d lie, cheat and steal their way into keeping their beloved F1 contract safe.

Otherwise we will assume that you’ve …. stolen the contract?

We would be happy to speak any time as we share some of the observations regarding contract profitability that he has detailed on this forum.

However, none of that answers why you’re now in control of our F1 contract and working with e-Mersion staff, contractors, and former directors to do so? 

Have you;

  1. Phoenixed the company?
  2. Stolen the contract, staff, contractors, and visual design of not only the F1 app but the actual magazine layout both of which were paid for by e-Mersion shareholders?
  3. Been given the above by e-Mersion in lieu of payment because John and Chris have squandered our investment?

Also;

So you’ve never met any staff member or director… So you’ve never met John or Chris? You’ve never met anyone in person, staff or director, you’re just admitting to paying the bills at what, random?Of course you’ve met them! Of course you’ve communicated both with John and Chris, and with staff members virtually/remotely. Just because you’ve never been in the same room doesn’t mean you haven’t “met.” Stop trying to be cute.

thankyou for your comments, and we appreciate that the shareholders of Emersion are keen for resolution, but again other than being commercially contracted by Emersion and its license partners we do not have any connection with Emersion. To your points : 

1 we publish content under license for many brand owners, the content and technologies being the property of brand owners. Again, we do not own, are connected to, use or have any other relationship with Emersion.

2 we are at present unpaid creditors of Emersion ( which they dispute which is their right ) and we hope this will be resolved in a normal commercial manner 

3 again, we provide services to Emersion and other clients remotely. Again we have never met any Emersion staff member or director, which has been raised in this forum .

I’m not Rick, and sadly have had no communication with him since his initial emails although I wish I did because he has been the only truthful person associated with e-Mersion attempting to actually help us.

  1. You don’t publish content for anyone else other than e-Mersion. I’ve checked your website. Lie #1. You say that you don’t have any relationship with e-Mersion, yet your app looks exactly the same as e-Mersion’s and employees the services of e-Mersion staff, contractors, and former UK Directors. Lie #2.
  2. This is probably the only truthful thing you have said.
  3. You provide services to e-Mersion… Yet you have no relationship with e-Mersion? How does that work? Do you communicate via ouija board? Regardless, Lie #3.
  4. You’ve never met anyone from e-Mersion, yet the product you’ve released looks exactly like the platform we paid to develop and the credits page you’ve built and published says you employ two e-Mersion staff members and a former UK director. Lie #4.

You’re clearly contradicting yourself and lying, the only thing that remains to be seen is if it is to cover up e-Mersion’s phoenix activity, or to cover up the fact you’ve stolen the contract, staff, and technology. It can only be one or the other. I know I know, you’ve never met anyone from e-Mersion even though you’ve admitted to providing services to e-Mersion and paying staff wages. You can spare the same response, you’re clearly lying by your own admission.

Parmenides, we appreciate that shareholders and creditors of Emersion are understandably concerned, and without entering into further repetition of the same points, your speculations are incorrect

It may be helpful to either contact the company, or as a process is possibly under way contact any appointed officer who will at some point provide a full account of assets ( including technology, and IP) and will provide a much clearer picture.
